Terms of Service

Welcome to SoCo ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the SoCo platform, website at so-co.app, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SoCo is an AI-powered productivity platform that helps teams plan, manage, and execute work through conversational cycle planning, automated task generation, and progress tracking. The Service includes:

  • AI-assisted project and cycle planning
  • Task management and tracking
  • Team collaboration features
  • Third-party integrations (Slack, Google Calendar, etc.)
  • Reports and analytics

3. Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

4.1 Free and Paid Plans

SoCo offers both free and paid subscription plans. The features available to you depend on your chosen plan. Plan details and pricing are available at so-co.app/settings/billing.

4.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by applicable law.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service without authorization
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

6. Your Content

6.1 Ownership

You retain ownership of all content you create, upload, or input into the Service ("Your Content"), including projects, tasks, cycles, team data, and AI chat interactions.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Content solely for the purpose of providing and improving the Service. We will not sell Your Content to third parties.

6.3 AI-Generated Content

The Service uses artificial intelligence to generate suggestions, task breakdowns, and planning recommendations. AI-generated content is provided "as-is" and you are responsible for reviewing and validating any AI output before relying on it. We make no guarantees about the accuracy, completeness, or suitability of AI-generated content.

7. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by SoCo and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., Google Calendar, Slack, Stripe). Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SoCo SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless SoCo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wake County, North Carolina.
